This agreement contains the complete terms and conditions that apply to a company, corporation, or individual's participation in the Lunchboxshop.com Partner Program (the "Program"). As used in this Agreement, "Associate" means the applicant.

TERM
The term of this agreement shall commence on the date which an approved link to Lunchboxshop.com's site (the "link") is placed on Associate's site and expire when terminated by either party with three days (72 hours) written or emailed notice. Upon termination, Associate agrees to remove the link from its site.

OBLIGATIONS OF LUNCHBOXSHOP.COM
1. Lunchboxshop.com will supply each Associate with artwork and text that can be placed on the Associate's site and act as a link to Lunchboxshop.com's website. An Associate may submit alternate artwork to Lunchboxshop.com for consideration.

2. Lunchboxshop.com will compensate Associate for each "Associate-Generated Purchase". An "Associate-Generated Purchase" shall be defined as a purchase made during a user session in which the visitor used the Associate’s unique assigned URL to access Lunchboxshop.com’s web site.

3. "Purchase Amount" is defined as the gross amount of an Associate-Generated Purchase less shipping charges, sales tax, and gift wrapping charges.

4. For sites deemed by Lunchboxshop.com to be commercial web sites, Lunchboxshop.com will remit 10% to 15% of the Purchase Amount of Associate-Generated Purchases to Associate.

5. For qualified non-profit sites, Lunchboxshop.com will remit 15% of the purchase amount of Associate-Generated Purchases to Associate.

6. The determination as to whether a site is a commercial or non-profit web site is at the sole discretion of Lunchboxshop.com.

7. Associate-Generated Purchases shall be solely determined by the log file reports of Lunchboxshop.com. Associates will have 24-hour access to both traffic and sales reports via their assigned URL. Payments will be made on a quarterly basis within 30 days of the end of the quarter.

OBLIGATIONS OF ASSOCIATE
Associate will place a graphical link to Lunchboxshop.com on the Associate site in a manner consistent with artwork provided by Lunchboxshop.com. Associate will code all links to Lunchboxshop.com using the unique URL specified by Lunchboxshop.com in the associate’s acceptance letter.

MODIFICATIONS
At any time Lunchboxshop.com may modify any of the terms and conditions contained in this Agreement by emailing a revised agreement to the Associate. If a modification is unacceptable, the Associate's only recourse is to terminate participation in the program. Continued participation in the Program following receipt of a revised agreement constitutes acceptance of the new agreement.

MISCELLANEOUS
The laws of the United States and the State of California will govern this Agreement. Any action relating to this Agreement must be brought in the federal or state courts located in Sacramento, California and you irrevocably consent to the jurisdiction of such courts.
